User Agreement 

Welcome to Movers.com. Thank you for using our website for your relocation needs. This website, located at (the "Site"), is operated by NGA Group, Inc., d/b/a/ Movers.com ("Movers.com"). Please read these terms and conditions and make sure that you understand everything contained in them so that you can decide whether you wish to use our Site to help you find products or services for your relocation needs. By using this Site, and any publicly available versions of the Site that Movers.com offers or co-brands with another party, you hereby agree that you are at least eighteen (18) years of age and are bound by and accept all of these terms and conditions of this user agreement ("User Agreement"). If you do not agree to the User Agreement, you must immediately cease all use of, or access to, the Site. Any individual who uses this Site is a "User" or "you." Movers.com Services
Movers.com operates the Site to provide online listing, advertising and lead generation services (the "Services") to Users seeking to obtain quotes or other information from companies who have entered into a Vendor Agreement with Movers.com ("Vendors"). Vendors may offer certain products and services to Users, including, but not limited to, packing, unpacking, moving, storage, carrier, brokerage, insurance, mortgage, home improvement and other related services ("Relocation Services"). In order to obtain quotes or other information about Vendors' Relocation Services, you must fill out and submit a quote request form provided on the Site ("Quote Request"). You agree that you will not submit a Quote Request unless you intend, in good faith, to obtain the requested Relocation Services within ninety (90) days of submitting the Quote Request. 

After you submit a Quote Request, Movers.com will select up to seven (7) Vendors whose Relocation Services match the relocation needs specified in your Quote Request as Movers.com determines in its sole discretion. After Movers.com selects the Vendors, Movers.com will: (a) send you an e-mail identifying the selected Vendors, and (b) share your User Information (as defined below) with the selected Vendors. By submitting a Quote Request, you are not obligated to obtain any products or services from any Vendors.

Movers.com utilizes an auto-save feature on the Quote Request form, in that when you fill out your personally identifiable information in the first four (4) fields of the form, the information is captured and stored on our servers. If you do not complete the Quote Request form and submit it, a Movers.com representative, and only a Movers.com representative, will utilize your personally identifiable information to contact you solely for the completion of your form. A Movers.com representative will submit the Quote Request form on your behalf electronically upon your verbal consent.

If you call Movers.com using our toll-free 1-866-343-1243 line, a Movers.com representative will, upon your verbal consent, use your personally identifiable information to fill out and submit the Quote Request form online. Please note that Movers.com does not hold any liability for any referrals verbally or otherwise given by Movers.com representatives. It is up to the customer to discern any pertinent information from third party companies (“Vendors”) and the privacy policies thereto.

Vendors are prohibited from using your User Information for any purpose other than to contact you to provide a quote and other information about their Relocation Services. Vendors have agreed to abide by a privacy policy at least as restrictive as Movers.com's Privacy Policy and not to disclose or sell your User Information to any third parties, including direct marketers, without your prior consent. However, you acknowledge and agree that Movers.com is not affiliated with and does not control the commercial activities of any Vendor and cannot ensure that Vendors will not use your information in unintended ways. We therefore recommend that you directly contact each Vendor to obtain information about the Vendors' privacy practices, or review the Vendor's privacy policy posted on its website, if any, in order to understand that Vendor's collection, use and disclosure of your information. 

Please note that Movers.com does not provide any Relocation Services and is not a party to any transaction between a Vendor and any User. As such, Movers.com does not (a) guarantee or ensure the quality of any Vendor, any transaction between a User and a Vendor, or the Relocation Services of any Vendor, (b) endorse or recommend any Vendor or any specific product or service of any Vendor, (c) collect or process payments or execute any agreement or other documentation on behalf of Users or Vendors, or (d) offer for sale, sell or otherwise provide any Relocation Services. 

Movers.com publishes moving guides as a service for your personal use. Our content team gathers, to the best of its ability, the most up-to-date and factual information available on each topic. However, the information given in these guides must be used at your discretion, as Movers.com and our content team are not held responsible for the information provided in the guides. Furthermore, the guides are not endorsements.

Third-Party Websites; Linking
The Site may contain links to websites owned or operated by third-parties, including Vendors' websites, that are not affiliated with, established or supervised by Movers.com. Movers.com does not endorse, sponsor or otherwise make any express or implied warranty or guarantee the websites linked to or from the Site or the accuracy, completeness or appropriateness of any information appearing on such linked websites, and Movers.com is not responsible in any way for any advice, content, information, practices, products or services related or made available through such linked websites. Similarly, Movers.com is not responsible for any advice on or verbal referral of a third-party website or company by any Movers.com representative. It is up to the customer to discern any pertinent information regarding any third party company’s products, services and practices and contact the third party company directly.

Site Content, Trademarks, and Software
All information, data and content made available on the Site (collectively, the "Content") is protected by copyright, trademark and other applicable intellectual property laws. The Content is owned by Movers.com, its licensors, suppliers, affiliates, or others. The Content is intended solely for your personal and noncommercial use. You may interact with or download a copy of any portion of the Content for your personal and noncommercial entertainment, information or use, provided that you shall not reproduce, sell, publish, distribute, modify, publicly display, publicly perform, re-post or otherwise use the Content, in whole or in part, in any other way or for any other reason without the prior written consent of Movers.com. Requests pertaining to the use of the Content for any purpose other than personal, noncommercial use as permitted herein should be directed to the following e-mail address: request@movers.com. 

You acknowledge that the Content includes certain trademarks and service marks owned by Movers.com, its licensors, suppliers, affiliates, or others. You agree not to copy, use or otherwise infringe, misappropriate, dilute or violate these trademarks or service marks. In addition, you agree that you will not alter or remove any trademark, copyright or other notice from any copies of the Content. The MOVERS.COM name and logo are trademarks of Movers.com. You acknowledge that other product and company names appearing on the Site may be trademarks of their respective owners. 

Please note that all software programming, including without limitation all HTML and other code contained on the Site (collectively, "Software"), is owned by Movers.com, its licensors, suppliers, affiliates, or others and is protected by copyright laws or other applicable intellectual property laws, as well as international treaty provisions. Any unauthorized access to, or reproduction, advertisement, redistribution, publication, display or other use of the Software is expressly prohibited by law and may result in severe civil and/or criminal penalties. Violators will be prosecuted to the maximum extent possible. 

User Information
By submitting a Quote Request or other materials containing personal information, including without limitation your name, address, phone number, e-mail address, your image or likeness, as well as your Relocation Services needs ("User Information"), you hereby expressly grant Movers.com a royalty-free, perpetual, non-exclusive right and license, with right to transfer and sublicense, to copy, modify, display, distribute, publicly perform, create derivative works of, and otherwise use and exploit any such User Information in any form, media, software or technology of any kind now existing or hereafter developed for the purposes described in this User Agreement and in accordance with the Privacy Policy. 

Given the nature of the Site and the volume of information, postings, and other content submitted on the Site, Movers.com cannot and does not actively monitor all of the User Information or information submitted by other Users, Vendors or other third-party information providers. Therefore, Movers.com reserves the right, in its sole discretion, to monitor, refuse to publish, refuse to transmit, remove, delete, move or edit any User Information or other posted information without notice, at any time and for any reason. By using the Site, you expressly agree that Movers.com will not be liable for (a) any claims, actions or judgments arising out of or related to any User Information or other posted information, or (b) monitoring, refusing to publish, removing, deleting, moving or editing any User Information or other posted information without notice at any time and for any reason.  

Copyrights, Copyright Agents and DMCA Compliance
Movers.com maintains a policy whereby it responds to notices of claimed intellectual property infringement. In the event that Movers.com receives a notice of alleged infringement, it will promptly investigate all such notices and take appropriate actions under the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c)(2) ("DMCA") and other applicable intellectual property laws. Pursuant to the DMCA, notifications of claimed copyright infringement should be sent to Movers.com's "Designated Agent." As such, all notices of alleged infringement shall be sent to the following Movers.com Designated Agent:

In order to be effective, any notice of claimed infringement must be a written communication and must include the following: 

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; 

2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site; 

3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity that is to be removed or access to which is to be disabled; and information reasonably sufficient to permit the service provider to locate the material; 

4. Information reasonably sufficient to permit the service provider to contact the complaining party, such as an address, telephone number and, if available, an electronic mail address at which the complaining party may be contacted; 

5. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner; its agent or the law; and  

6. A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 

Representations and Warranties; Indemnity
You hereby represent and warrant that (a) you have all necessary authority, rights and permissions to submit the User Information to the Site, (b) the User Information does not and will not infringe, misappropriate, dilute or otherwise violate any copyright, trademark, trade secret, patent or other intellectual property right of any third party, including any rights of privacy or publicity, (c) the User Information is accurate, complete, true and honest, (d) the User Information does not and will not violate any applicable law or regulation or cause injury to any person, and (e) neither you, nor any party that you are representing, (i) is in the business of providing Relocation Services and/or, (ii) is using the Site for the purpose of obtaining the quotes or other information about your competitors. 

You agree to release, defend, indemnify and hold Movers.com, its affiliates, licensors and suppliers, their respective officers, directors, employees, agents and contractors harmless from and against any and all claims, costs, demands or expenses, including attorneys' fees, arising from (i) any distribution, publication, refusal to publish, removal, deletion, movement, editing or other use of the User Information you provide, (ii) your use of the Site or any reliance on the Content, (iii) your breach of this User Agreement, or (iv) any actual, prospective or terminated transaction between you and a Vendor or any other third party. 

Prohibited Activities
The following is a partial list of the kinds of activities that are prohibited on or through the Site: (i) engaging in activity or submitting User Information that harasses or advocates harassment of another person, (ii) engaging in activity that involves the transmission of "junk mail" or unsolicited mass mailing or "spam" to Users, Vendors, or others, (iii) engaging in activity or submitting User Information, or promoting information, that is fraudulent, false, dishonest, or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous, (iv) using the Site's forms and/or toll-free numbers to advertise or promote products and services to Movers.com advertisers or Vendors, (v) using any robot, spider, bot or other automatic device, or manual process, to monitor or copy web pages or the Content contained on the Site or for any other unauthorized purpose without the prior written consent of Movers.com, (vi) using any device, software or routine to interfere or attempt to interfere with the proper working of the Site, (vii) decompiling, reverse engineering, disassembling or otherwise attempting to obtain the source code for the Software, (viii) taking any action that imposes an unreasonable or disproportionately large load on Movers.com's hardware or software infrastructure, or (ix) using this Site for the purpose of obtaining quotes or other information of your competitors (collectively, the "Prohibited Activities"). 

Disclaimer of Warranties
YOU EXPRESSLY AGREE THAT USE OF THE SITE AND RELIANCE ON THE CONTENT IS AT YOUR OWN RISK. TO THE EXTENT PERMITTED BY LAW, MOVERS.COM, ITS AFFILIATES, LICENSORS, AND SUPPLIERS DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE SITE, THE SOFTWARE, THE CONTENT, OR THE USER INFORMATION OR YOUR USE OF ANY OF THE FOREGOING. THE SITE, THE SOFTWARE, THE CONTENT, THE USER INFORMATION AND THE SERVICES ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS, AND MOVERS.COM, ITS AFFILIATES, LICENSORS, AND SUPPLIERS SPECIFICALLY DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY AND WARRANTIES OF NON-INFRINGEMENT.  

ALL INFORMATION RELATED TO VENDORS AND THE PRODUCTS OR SERVICES AVAILABLE ON AND THROUGH THE SITE IS SUPPLIED BY THE VENDORS OR OTHER THIRD PARTIES. MOVERS.COM, IT'S AFFILIATES, LICENSORS, AND SUPPLIERS MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, TO ANY ACTUAL OR PROSPECTIVE PURCHASER OF PRODUCTS OR SERVICES AS TO THE EXISTENCE OR QUALITY OF THE PRODUCT OR SERVICE, THE ACCURACY OF ANY VENDOR QUOTE RECEIVED THROUGH THE SITE, THE QUALITY OF ANY PRODUCTS OR THE VENDOR'S PERFORMANCE OF SERVICES, ANY VENDOR'S COMPLIANCE WITH APPLICABLE LAWS, OR THE VENDOR'S COMPLIANCE WITH THE TERMS OF MOVERS.COM'S PRIVACY POLICY. MOVERS.COM RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CORRECT ANY ERROR OR OMISSION ON THE SITE OR IN THE CONTENT. ANY AND ALL CONCERNS, CLAIMS, OR DISCREPANCIES REGARDING A QUOTE FROM A VENDOR, THE PRODUCTS OR SERVICES PROVIDED BY A VENDOR, OR THE VENDOR'S USE OR DISCLOSURE OF YOUR USER INFORMATION, MUST BE ADDRESSED DIRECTLY WITH THE VENDOR. MOVERS.COM DOES NOT MAKE ANY AND EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT, BY USING THE SITE, YOU WILL OBTAIN ANY PRODUCTS OR SERVICES, YOU WILL ONLY RECEIVE QUOTES FROM LEGITIMATE VENDORS, OR THAT THE VENDORS WILL NOT SELL OR DISCLOSE YOUR USER INFORMATION TO THIRD PARTIES.  

Limitation on Liability
TO THE EXTENT PERMITTED BY LAW, MOVERS.COM, ITS AFFILIATES, LICENSORS, AND SUPPLIERS, THEIR EMPLOYEES, AGENTS, CONTRACTORS AND THIRD-PARTY LICENSORS SHALL IN NO EVENT BE LIABLE FOR ANY DAMAGES OR LOSSES INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL OR PUNITIVE DAMAGES, RESULTING FROM OR CAUSED BY THE SITE, THE SOFTWARE, THE CONTENT, THE USER INFORMATION, THE SERVICES PROVIDED BY MOVERS.COM, THIS USER AGREEMENT OR OTHERWISE (INCLUDING, WITHOUT LIMITATION, DAMAGES RESULTING FROM NEGLIGENCE). IN NO EVENT WILL THE AGGREGATE MAXIMUM LIABILITY OF MOVERS.COM, ITS AFFILIATES, LICENSORS, AND SUPPLIERS, THEIR OWNERS, EMPLOYEES, AGENTS, CONTRACTORS AND THIRD-PARTY LICENSORS FOR ANY CLAIM EXCEED $50.00 USD. FOR PURPOSES OF THIS LIMITATION ON LIABILITY, THE TERM "THIRD-PARTY LICENSOR" DOES NOT INCLUDE YOU.  

Termination
You understand and agree that, in Movers.com's sole discretion, and without prior notice, Movers.com may terminate or suspend your access to the Site, and Movers.com may exercise any other remedy available and remove any User Information, if Movers.com believes that your use of the Site and/or any User Materials you provide (a) violate (i) this User Agreement, (ii) the rights of Movers.com, its affiliates or licensors, or another User of the Site, or (iii) any law or regulation, or are otherwise objectionable or inappropriate, or (b) constitute fraudulent activity of any nature. You agree that monetary damages may not be an adequate remedy to Movers.com for violations of this User Agreement, and you consent to injunctive or other equitable relief for such violations without the requirement that Movers.com post a bond. 

General Terms
This User Agreement may be changed at any time and you will be notified of any such changes by an updated posting of the new User Agreement on this page of the Site. Your continued use of the Site after the posting of any amended User Agreement shall constitute your agreement to be bound by any such changes. Movers.com may modify, suspend, discontinue or restrict the use of any portion of the Site without notice or liability. This User Agreement will be governed by and construed in accordance with the laws of the State of New Jersey without regard to its conflicts of law provisions. You hereby agree that any cause of action you may have with respect to the Site must be exclusively filed in the federal or state courts located in the Cook County, Illinois, and waive any objection based on forum non conveniens. As a condition of using the Site, you agree that all causes of action arising out of or in connection with this Site shall be resolved individually, without resort to any form of class action. If for any reason a court of competent jurisdiction finds any provision of this User Agreement illegal, invalid or otherwise unenforceable, such provision shall be severed and the entire agreement shall not fail on account thereof, the other terms of the agreement will be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this User Agreement will continue in full force and effect. Failure by Movers.com to enforce any provision of this User Agreement will not be deemed a waiver of future enforcement of that or any other provision of this User Agreement. The User Agreement constitutes the entire agreement between the parties regarding the subject matter hereof. Neither this User Agreement, nor any terms or conditions contained herein, shall be construed as creating a partnership, joint venture or agency relationship or granting a franchise between the parties.
